PREAMBLE

GoldinSacs.com is an investor network which allows individual to increase investment understanding, build confidence and use conversation as a guide to establish an investment's potential market value based on shared information and crowd knowledge. GoldinSacs.com is a community of members which may include shareholders, investors, industry stakeholders, industry influencers, management of corporations and financial professionals.

Definitions:

GoldinSacs.com                        Is a website.

GoldinSacs.com Member:        Users that have agreed to the Member Terms and Conditions, Global Privacy Policy and are a part of the GoldinSacs.com Community.

GoldinSacs.com Community:   A community consisting of all Members, investment groups, corporations, industry influencers, preferred partners and all other stakeholders.

Free User                                  Can simply view content on the site.

Basic Member:                         Basic profiles will be able to join groups, read, and access content posted on GoldinSacs.com. Basic Users can not chat or post in GoldinSacs.com.

Contributor Member:               Are users who have paid an annual validation fee, using a valid credit card. User profiles are confirmed against their billable information. Validated Users can chat or post in GoldinSacs.com.

Influencer Member:                 A corporation or Investor Relations corporation, which has agreed to the GoldinSacs.com Member Agreement and has an approved Corporate Profile and Group on the GoldinSacs.com. Professional Members will be able to create and manage their own group.

Restricted Profiles:                   These are profiles which have been restricted from posting or commenting on the site due to a violation of the Terms and Conditions.

BINDING AGREEMENT:  You may be able to view some of the content posted on the GoldinSacs.com, but you will be required to become a Member should you wish to use the GoldinSacs.com and be a part of one of the GoldinSacs.com groups. By becoming a Member of GoldinSacs.com and/or utilizing the GoldinSacs.com, mobile application, portal, platform, services or other future content or programs, you are agreeing to enter into a binding agreement with GoldinSacs.com.

NO SECURITIES OFFERINGS:  The GoldinSacs.com is intended for informational and educational purposes only.  Members should not deem any information, content or conversations as a formal offer, sale, and/or suggestion/recommendation to purchase securities. Using language, content or images which recommend a purchase of a security is prohibited.  This prohibition extends to, but is not limited to, indications of interest, indications that a certain security, price, or amount of securities are available or sought, and the like.  Any information, content or conversations which are a suggestion/recommendation may be removed and the Member posting such suggestion/recommendation will be removed.

REMOVAL OF POSTED CONTENT, REMOVAL OF YOUR USER PROFILE AND OR THE RESTRICTION OF YOUR PROFILE : GoldinSacs.com, holds the right to remove content, restrict your profile and/or remove and ban your Member profile for violation of any of the terms and conditions of this agreement.

In order to comply with the Anti-Spam legislation in Canada, USA and other International Countries you agree to only send out associate/friend requests or “Send Invites” to people whom you have prior consent or a personal relationship with.

AMENDMENTS: You agree to comply with all the Terms, Conditions and Policies of this contract and you agree that this agreement, its Terms and Conditions, and all GoldinSacs.com policies communicated in this agreement or elsewhere may be amended from time to time without notice. However, GoldinSacs.com will ordinarily, in its best efforts, to inform all registered Members of material changes to this agreement.

CONTENT OWNERSHIP:   You own all information submitted, posted and/or shared on GoldinSacs.com or other future programs, and have the right to change or delete information if it complies with the Terms, Conditions and Policies of this agreement and/or the governing regulatory bodies. You grant GoldinSacs.com an exclusive, irrevocable, unlimited, assignable, and royalty-free right to use, copy, distribute, publish, remove, retain, process, analyze and commercialize any information you provide, directly or indirectly GoldinSacs.com or any of its subsidiary technologies without any further consent, notice and/or compensation to you or to any third parties. GoldinSacs.com will try to confirm that all third parties meet the General Data Protection Regulation (GDPR) or the related data protection regulation for the international jurisdiction.

All messaging, content or information posted by you is owned by you and you have the ability to delete from public viewing all information under your control, but you grant GoldinSacs.com the right to delete or remove your content at any time if it is deemed to be unsponsored advertising, vulgar language, defamation of character, insults, racist remarks, sexual remarks, investment recommendations, asks opinions of others, negative comments towards other Members, or the continuous badgering or antagonizing of others Member, sharing of securities offerings, discussions in regards to bids, asks, stock price or volume or any remark that would be considered offensive, unethical, or which violates Canada’s, USA’s or your local international investment regulatory policies or laws, or any statement that GoldinSacs.com believes may create a liability for GoldinSacs.com or its Members.

TRANSFERRING/SELLING/SHARING OF YOUR INFORMATION: Should you choose, and only if you choose, to be contacted by a third part professional financial institution or corporation outside the GoldinSacs.com community, you allow GoldinSacs.com, or its to share, transfer and/or sell your contact information, name, number, email or other profile information to the professional financial institution or the company. By choosing to be contacted, you agree to be reached via email, phone or other means of communication by the professional institution or the client company.

USE OF INFORMATION: GoldinSacs.com may collect information from Member profiles, messages, polls, surveys, blogs, postings or other forms of communications to drive a variety of investment analytics. These analytics will be used to increase services, educational materials, member experiences and to create social investment trends. This information may also be used to help client corporations advertise to you through paid advertising services provide through GoldinSacs.com.

USE OF COOKIES: GoldinSacs.com utilize cookies on the sites to offer you a better browsing experience and to analyze our traffic. We may also use this information for site analytics and user marketing.  By continuing to use our service, you agree to our use of cookies. * Privacy Shield and the General Data Protection Regulation: If you do not wish to have your information used in this manner, do not agree to the Terms and Conditions and then do not signup as an GoldinSacs.com Member. If you are currently an GoldinSacs.com Member, please close your account.

REGULATORY OR LEGAL DISCLOSURES: As GoldinSacs.com is operating within the Canadian, USA and International Investment Regulatory industry, and given this relationship, GoldinSacs.com is obligated to meet the requirements and needs of the governing regulatory bodies. GoldinSacs.com may be called upon and or required to provide certain information on your communications.

GoldinSacs.com may choose to comply with National Instrument 31-103 Part 11.6, as a guideline for managing and storing communications between issuers and the public. This Canadian guideline meets or exceeds most international jurisdictions requirements .

USA SECURITIES AND EXCHANGE ACT OF 1934 – PART 240. 17A-3

USERS/CUSTOMERS/MEMBERS/FOLLOWERS/INVESTORS ELIGIBILITY: To be eligible to use the GoldinSacs.com, you must meet the following criteria to act as a user, customer, member, follower, investor you warrant that you:

1. Are the minimum age of 18
2. Are not currently or in the past been restricted, removed or prohibited from GoldinSacs.com or its related services;
3. Are not a competitor looking to obtain information or target users, client corporations, Members, preferred partners or other stakeholders to compete against GoldinSacs.com;
4. Will only maintain one GoldinSacs.com Membership at any given time;
5. Will use your real name, pictures, and only provide accurate information in your Member profile;
6. Have the mental and legal authority to enter into this Agreement; and
7. Will protect the intellectual property rights, copyright or trademark rights, business ideas of GoldinSacs.com.

 YOUR ACCOUNT/MEMBERSHIP: You are responsible for the following:

1. Protecting your password from others;
2. Not sharing your account with others;

• Anything posted on GoldinSacs.com through your Member profile.

INDEMNIFICATION: You agree to indemnify GoldinSacs.com , and its related Investor Platforms, and hold harmless for all damages, losses and costs (including, but not limited to, reasonable attorneys’ fees and costs) related to all third-party claims, charges, and investigations, caused by your failure to comply with the Member Terms & Conditions Agreement and/or the Global Privacy Policy , any content or information you post on GoldinSacs.com, and any activity or investment in which you decide to invest.

Free User                                  Can simply view content on the site.

Professional Member:              A corporation or Investor Relations corporation, which has agreed to the GoldinSacs.com Member Agreement and has an approved Corporate Profile and Group on the GoldinSacs.com. Professional Members will be able to create and manage their own group.

Restricted Profiles:                   These are profiles which have been restricted from posting or commenting on the site due to a violation of the Terms and Conditions. Restricted profiles will be able to read, and access content posted on the 8020 Investor Platforms.

You agree to pay the applicable fees for any additional GoldinSacs.com applications as they become due, plus all related or applicable taxes, foreign exchange fees, collection costs, late payment penalties and to reimburse GoldinSacs.com and for all collection costs and interest for any overdue amounts. Failure to pay for the services may result in the termination of your Membership and all related services.  Such termination will not relieve you of the requirement to make the payments due.

NOTIFICATIONS OR MESSAGES: You agree that GoldinSacs.com, or related sites may communicate, advertise, solicit you through your Member profile or any other means including email, mobile number, text, telephone, or delivery services (postal service) about your account or services associated with your Member profile.

You acknowledge and agree that you are responsible for maintaining up-to-date contact information with GoldinSacs.com, and waive all liability arising from GoldinSacs.com, and/or its related Platforms, inability to contact you about critical information.

User Communication (Peer-to-peer, messaging, groups, blogs, and personal pages ):

GoldinSacs.com will offer various forms of communication structures where you will have the ability to post your comments on updates or forum posts, the sharing of information through your own updates or forum posts, including links to news articles, PDF documents, videos and other information or content, and direct message with other Members.

You agree and understand that any information or ideas posted or shared may be seen and used by other Members or, if made public, by site visitors. You understand that GoldinSacs.com, will not guarantee that other Members will or will not use the ideas and information that you have shared. GoldinSacs.com HIGHLY RECOMMENDS YOU DO NOT SHARE CONFIDENTIAL INFORMATION. 

GoldinSacs.com, IS NOT RESPONSIBLE FOR MISUSE OR MISAPPROPRIATION OF ANY CONTENT OR INFORMATION WHICH YOU POST, AND, IS REUSED BY OTHER MEMBERS OR VISITORS.

If you engage in discussions about securities, such discussions may carry significant risk of liability to you.  You should consult with your legal advisors before discussing securities.  Before discussing securities, you should be familiar with, and have a process in place to address, the dangers of sharing or receiving material nonpublic information (which can pertain to insider trading), information about which the provider of information or you may owe a duty of confidentiality, engaging in a “pump and dump” scheme, “touting,” and other violative conduct.  Such violative conduct would be a breach of this agreement by you.  Offers to sell or buy securities, including resales to other investors, may require registration under province/state securities laws.  Issuers and their personnel and agents must be familiar with, and have a process in place to address, public and private securities offering rules, province/state requirements on securities registration for offers and purchases or sales including for resales, and the potential for certain conduct to be considered regulated conduct or create material liabilities such as under laws and regulations applicable to broker-dealers, underwriters, investment advisers, and others. GoldinSacs.com, do not condone Members engaging in violative conduct or acting in a manner that requires registration when such registration is not in place and shall bear no responsibility for such conduct.

SERVICES: GoldinSacs.com will seek to provide continuous improvements, updates, and expand the services GoldinSacs.com. GoldinSacs.com may modify, replace, refuse access to, suspend or discontinue all or parts of its services. GoldinSacs.com, may change and/or modify prices at their sole discretion. GoldinSacs.com will make a “best efforts basis” to inform affected Members or client corporations of modifications or changes to prices or material modifications or changes to services. GoldinSacs.com may impose limits on certain features and services or restrict your access to parts or all of the services without notice or liability.

THIRD-PARTY CONTENT: You may be exposed to third-party content or information which might be inaccurate, incomplete, delayed, misleading, illegal, offensive or otherwise harmful. GoldinSacs.com will seek to control and delete such information but cannot guarantee that it will be successful in doing so. You agree and acknowledge that GoldinSacs.com are not responsible for third-party content or information or for any damage of any kind related to said information. You are responsible for evaluating whether you want to use or access any third-party information.

DISCLAIMER : GoldinSacs.com do not endorse, recommend or represent any products, service or investments, listed on or posted on the site. GoldinSacs.com does not screen, audit, valuate or endorse product, services, tokens or the individual companies for any purpose. Should you decide to purchase any product service, advocate or invest, you do so at your own risk.

GoldinSacs.com provides the services/technologies/platform for Members and corporations on an “as is” and “as available” basis. GoldinSacs.com does not provide any express warranties or representations to the full extent permissible under the applicable law.

GoldinSacs.com, does not have an obligation to monitor Member activity and therefore disclaims all liability for identity theft or other misuse of your identity or information.

GoldinSacs.com, does not guarantee that its services will function without interruption or errors during its service whether from external factors, internal maintenance, user issues, or any other reason. GoldinSacs.com disclaim all liability for damages or loss of income due to the above interruptions, errors or issues.

LIMITED LIABILITY STATEMENT: Neither GoldinSacs.com affiliates, suppliers, employees, shareholders, or directors shall be cumulatively liable for (a) any damages in excess of three times the most recent monthly fee or listing fee that was paid, or (b) any special, incidental, indirect, punitive or consequential damages or loss of use, profit, revenue or data to you or any third person arising from your use of the GoldinSacs.com or related services, platform applications, any of the content, other materials on, accessed through or downloaded from GoldinSacs.com or third party providers. This limitation of liability is part of the basis of the agreement between the parties and without it the terms and prices charged would be significantly different.

COPYRIGHT INTELLECTUAL PROPERTY & TRADE SECRETS:  GoldinSacs.com reserves all of its copyright, intellectual property and trade secrets rights, and does not grant any right or license with respect to any such trademarks, intellectual property and/or logos.

TERMINATION: You may choose to end or terminate your membership with GoldinSacs.com for any reason at any time with or without notice. GoldinSacs.com have the right to terminate your membership with or without reason whatsoever at any time with or without notice. Termination of membership will be immediate. Misuse of GoldinSacs.com, its services or non-compliance of the Terms and Conditions or Global Privacy Policy, whether it be at the time of misuse or at some future time when GoldinSacs.com are made aware of such misuse, will result in immediate termination and in some case a monetary penalty levied by GoldinSacs.com.

DISPUTE RESOLUTION: This Agreement or any claim against this agreement, cause of action or dispute (“claim”) arising out of or related to this Agreement shall be governed by the laws of the Province of Alberta regardless of your country of origin.

ENFORCEABILITY & INTENT: If any provision of this Agreement is found by a court of the Province of Alberta to be illegal, void, or unenforceable, the unenforceable provision will be modified to render it enforceable and effective to the maximum extent possible in order to affect the intention of the provision and any modification to a provision shall not have any effect to the remaining provisions of this Agreement.

AMENDMENTS: GoldinSacs.com reserves the right to modify, supplement, or replace any provisions or terms of the agreement. GoldinSacs.com will make a “best effort basis” to inform all users of any changes to this agreement.

ASSIGNMENT: You may not assign or delegate any rights or obligations under this Agreement. GoldinSacs.com shall be free to assign or delegate all rights and obligations under this Agreement, fully or partially without notice to you.

You agree that this Agreement constitutes the entire agreement, the complete and exclusive agreement between you and GoldinSacs.com. You may be subject to additional Terms and Conditions dependent on your membership type and service you require, such as a Influencer Member Agreement or the Professional Membership Agreement.
